Terms of Service

Draft for attorney review. These terms govern use of Record of Sale on recordofsale.com by Record of Sale, LLC, an Oregon limited liability company, [Company Address TBD].

1. The company and the product

Record of Sale, LLC is an Oregon limited liability company. It operates the Record of Sale service on recordofsale.com. The product generates a structured packet and a guided checklist, with optional photo evidence, in-app signatures, private QR tokens, and a SHA-256 hash of a sealed manifest. Categories include vehicles, machinery, items of value, and estate-sale purchases.

2. What we are not

We are not a DMV, motor vehicle agency, title clerk, escrow agent, money transmitter, dealer, auctioneer, appraiser, authenticator, or law firm. We do not practice law or give legal, tax, or title advice (no unauthorized practice of law). Checklists summarize published state materials and may be incomplete or outdated. Official forms open on government sites.

3. No DMV filing; wet-ink title gate

Using Record of Sale does not file a title, registration, report of sale, NRL, VTN, Sold Notice, or tax return. We do not claim that any DMV “accepts this packet.” In-app e-sign does not complete a title transfer and is not a notarial act. Parties must acknowledge that a physical or secure title typically still requires wet-ink signatures unless their state’s private-party e-title portal actually applies to them. We do not host security-paper forms (for example California REG 262).

4. No escrow; software fee only

Stripe charges are the software fee ($29 / $49 / $79 as displayed). We never hold vehicle, equipment, item, or estate-lot purchase funds. You arrange payment for the goods between yourselves.

5. Eligibility and accounts

You must be 18 or older. Both parties must provide a working email. Magic-link and QR tokens are private credentials. You will not publish them, scrape other people’s deals, or treat /r/ as a gallery.

6. ESIGN consent

By signing in the product you consent to electronic records and signatures under the federal ESIGN Act and any similar state law, solely for the Record of Sale packet, consents, and audit log. This consent does not convert a wet-ink title assignment into an electronic title. You may withdraw consent by not sealing the packet; we may then be unable to finish the service.

7. Acceptable use

You will not use Record of Sale for stolen goods, fraud, straw purchases, firearms that require an FFL, export-controlled items you cannot legally transfer, or to impersonate a government office. You will not upload anyone’s government ID except through a future vendor Identity flow. You represent that photos you upload are yours to share with the other party.

8. As-is goods; estate sales

Machinery, items of value, and estate lots are documented as-is unless you write a different warranty. Estate packets are not probate filings or estate accountings. We do not verify that a person is an executor.

9. Sealed packets

After seal, the packet is read-only and tokens reject mutations. The hash records the manifest we stored. It is not a blockchain title (optional Polygon anchoring is off by default and, if ever enabled, still would not transfer ownership).

10. Limitation of liability

THE SERVICE IS PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, Record of Sale, LLC DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE ARE NOT LIABLE FOR FAILED DMV FILINGS, LOST TITLES, TAX MISTAKES, UNPAID LIENS, OR DISPUTES BETWEEN BUYER AND SELLER. OUR TOTAL LIABILITY FOR A DEAL WILL NOT EXCEED THE SOFTWARE FEE YOU PAID FOR THAT DEAL. SOME STATES DO NOT ALLOW THESE LIMITS.

11. Indemnity

You will indemnify Record of Sale, LLC and its contractors against claims arising from your deal facts, photos, signatures, misuse of tokens, or your failure to file official forms.

12. Governing law

These terms are governed by the laws of the State of Delaware, without regard to conflict of law rules, or another jurisdiction later selected in an updated posting (“to be selected”). Venue for disputes that must be in court is the state or federal courts located in Delaware, unless a mandatory consumer statute says otherwise.

13. Privacy

The Privacy Policy is part of these terms.
